1.Ethics and Compliance Policy
Basic policy
Daisho Denshi will act with respect for social needs, social norms and social ethics in compliance with laws and regulations, business ethics and rules.
【Action Guidelines】
Fair dealings
- ・We will engage in fair and equitable dealings in our corporate activities in compliance with antitrust and competition laws and regulations.
No bribery or corruption
- ・We will conduct business in compliance with anti-bribery laws in all countries and regions and never be involved in corruption.
- ・We will not offer money, entertainment, assistance, opportunities or other advantages to public officials or similar persons, or officers or
- employees of a company for obtaining undue advantage.
Eliminating relationships with antisocial forces
- ・We will eliminate any relationships with antisocial forces that threaten social order and security.
Preventing conflict of interest
- ・We will not seek personal gain when performing our duties and will not engage in any act that conflicts or is suspected to conflict with the
- interest of the Company.
Export control
- ・We will control export and import of products and technical information appropriately in compliance with trade control laws and regulations
- to protect international peace and security.
Preventing insider trading
- ・We will strictly refrain from selling and buying stocks or securities of another company with knowledge of material non-public information on
- the company learned through our duties.
Respecting intellectual property
- ・We recognize that intellectual property is an important asset of the Company and will endeavor to protect and effectively use those
- intellectual property rights. In addition, we will respect intellectual property rights of others and will not knowingly infringe such rights.
Accurate record-keeping and disclosure of information
- ・We will record all internal and external information including accounting and financial information accurately based on facts.
- ・We will disclose financial information and non-financial information on subjects such as labor, health and safety and environmental practices
- appropriately in a timely manner in accordance with laws, regulations and rules.
Whistleblower protection
- ・We will endeavor to report to and consult with our supervisor or an internal report desk if we find violation of laws and regulations or other
- improper conduct. The Company will maintain the confidentiality of information on the individuals who have reported and consulted or
- who cooperated in the investigation and will never allow any retaliation against them.
Information security
- ・We will manage information of the Company and of others properly according to the degree of importance of such information and protect it
- from leak, unauthorized use, thefts and all other threats.
- ・We will neither use information obtained through our duties for any purpose other than for conducting our duties nor will disclose or leak
- such information to others during and after employment.
Protection of personal information
- ・We respect the privacy of individuals and will lawfully and appropriately handle any personal information obtained through our corporate
- activities.
2.Internal reporting system
- To prevent, detect and correct compliance issues such as violations of laws and regulations and work discipline in the workplace (hereinafter referred to as "misconduct") at an early stage, we have established an internal reporting system (Compliance Hotline) that is available to all officers and employees, including contract employees, temporary employees, part-time employees and others engaged in the company's business (including those who have left the company within the past year).
The details of the Compliance Hotline are made known to all officers and employees through training and the distribution of compliance cards.
When a report is made to the Compliance Hotline, the company will thoroughly manage information that identifies the reporter and the content of the report, and then conduct a fact-finding investigation. If any misconduct is discovered, the company will promptly take corrective measures and measures to prevent recurrence, and will take disciplinary action against the perpetrator in accordance with the company's rules of employment.
Additionally, our internal reporting regulations prohibit dismissal or any other detrimental treatment, retaliation, or harassment against whistleblowers, ensuring thorough protection of whistleblowers.Even after the report has been processed, the company will continue to follow up thoroughly, including checking whether the whistleblower has been subjected to any detrimental treatment, retaliation, or harassment. If it is determined that the whistleblower has been treated detrimentally, the company will take appropriate measures to provide relief and recovery, and will also take disciplinary action against the perpetrator in accordance with the company's rules of employment.
